I. Enhancing Board Functions

Director Training
Directors completed the required continuing education of at least six hours during the year, while newly appointed directors completed at least twelve hours of training:
a. March 13, 2025 – Leading Strategies for Corporate Transformation in the Era of Artificial Intelligence (AI) (3 hours)
b. August 21, 2025 – New Perspectives on Corporate Transformation: Digital Technology and Sustainable Development (3 hours)
2.Directors’ and Officers’ Liability Insurance
The Company purchased Directors’ and Officers’ Liability Insurance with coverage of USD 1 million for the period from July 1, 2025 to June 30, 2026. The insurance purchase was approved by the Board of Directors on May 8, 2025.
3.Communication Meetings among Independent Directors, CPA, Internal Audit and Finance Management
Communication meetings involving the Company's independent directors, certified public accountants, head of internal audit, and finance management personnel were held three times on March 13, August 21, and November 5, 2025.
4.Board and Functional Committee Performance Evaluation
Internal performance evaluations of the Board of Directors and its functional committees were conducted, and the evaluation report was presented to the Board on March 13, 2025.
5.Corporate Governance Officer Training
In addition to participating in director training programs, the Corporate Governance Officer completed twelve hours of continuing education as required:

2.Internal Regulations Amended in Response to Regulatory Changes
a. March 13, 2025 – Amendment to the Articles of Incorporation.
b. August 21, 2025 – Amendment to the Compensation Policy and Compensation System for Managers.
The amendment described in Item (a) above was approved by the Annual Shareholders’ Meeting.
IV. Other Corporate Governance Initiatives

In 2022, the Company established an ESG Working Group and a Greenhouse Gas (GHG) Emission Committee, replacing the former Corporate Social Responsibility Committee.

In November 2023, the Board of Directors approved the Company's Net-Zero Greenhouse Gas Emission Roadmap.

In July 2024, the Company completed its second consecutive year of voluntary carbon inventory verification and obtained ISO 14064-1 certification issued by SGS for the second consecutive year.

In November 2024, the Company established the internal control procedure entitled Sustainability Information Management Operations.

In August 2025, the Company published its first Sustainability Report, which was reviewed and approved by the Board of Directors.
